Quanome Technologies, Inc. entered into an at-the-market offering agreement with Maxim Group LLC on October 21, 2026, permitting the sale of up to $9,754,475 in common stock. The company, incorporated in Nevada and headquartered in New York, filed the agreement as a material definitive agreement under Form 8-K with the U.S. Securities and Exchange Commission.

Under the terms of the agreement, Quanome may offer and sell shares of its common stock, which carries a par value of $0.0001 per share, through Maxim Group acting as sales agent or principal. The shares will be issued pursuant to the company's shelf registration statement on Form S-3, which was initially filed with the SEC on July 8, 2026, and declared effective on October 16, 2026. A prospectus supplement for the program was filed on October 21, 2026.

Sales under the agreement may be executed using any method permitted by law for at-the-market offerings under Rule 415 of the Securities Act of 1933. When Quanome intends to sell shares, it will notify Maxim Group of the maximum number or dollar amount to be sold, the requested time period, any daily limits, and a minimum price floor below which sales are prohibited. Maxim Group has agreed to use commercially reasonable efforts consistent with its normal trading practices to sell the specified shares, subject to conditions that Quanome must meet.

Quanome will pay Maxim Group a cash transaction fee equal to 3.0% of the gross sales price for shares sold through the agent. The company also agreed to reimburse Maxim Group for reasonable out-of-pocket costs, including legal counsel fees and disbursements, capped at $40,000, along with certain periodic due diligence fees. Additionally, Quanome agreed to indemnify Maxim Group against specific civil liabilities, including those under the Securities Act, and to contribute to payments the agent may be required to make regarding such liabilities.

Because there is no minimum offering amount required to close the offering, the actual total public offering amount, transaction fees, and proceeds to Quanome are not determinable at this time. The company currently intends to use net proceeds from any share sales for working capital and general corporate purposes, as well as for business development and potential strategic deals such as acquisitions. However, as of the filing date, Quanome stated it has no definitive plans or agreements regarding any acquisitions for which it intends to use these proceeds.

Quanome has no obligation to sell any shares under the agreement. Either party may suspend sales upon proper notice. The agreement remains in force unless terminated by either party as permitted or by mutual agreement. Quanome may terminate provisions relating to the solicitation of offers at any time upon ten business days' prior written notice, a right Maxim Group also holds. The legal opinion for the issuance was provided by Flangas Law Group.

Yang Li, Chief Executive Officer of Quanome Technologies, signed the current report on October 21, 2026.
