Starry Sea Acquisition Corp (SSEA) extended its deadline to complete a business combination to November 7, 2027, following shareholder approval at an extraordinary general meeting held on October 19, 2026. The company entered into an amendment to its Investment Management Trust Agreement with Odyssey Transfer and Trust Company, allowing the Combination Period to be extended up to twelve additional times, one month per extension.

Shareholders approved the amendment and restatement of the company's charter, adopting the third amended and restated memorandum and articles of association. This change permits the company to remain in existence until the new deadline by depositing a monthly fee into the trust account established during its initial public offering. The Monthly Extension Fee is set at the lesser of $60,000 per month for all remaining public shares or $0.033 for each remaining public share after accounting for redemptions at the meeting.

At the extension meeting, which began at 9:00 a.m. Eastern Time, 6,406,986 ordinary shares were voted by proxy or in person. This represented 83.91% of the 7,635,871 issued and outstanding ordinary shares entitled to vote as of the September 16, 2026 record date, constituting a quorum. Shareholders voted in favor of the charter amendment proposal with 5,197,330 votes for, 1,209,656 against, and no abstentions or broker non-votes. A third proposal to authorize the chairman to adjourn the meeting was passed with 5,707,672 votes for and 699,314 against. In connection with the vote, shareholders tendered 3,895,270 ordinary shares for redemption. The company filed the trust agreement amendment and the new charter as exhibits to its Form 8-K current report dated October 20, 2026.
