Venu Holding Corporation entered into a series of definitive agreements on October 20, 2026, governing the development, financing, and operation of its open-air amphitheater complex in McKinney, Texas. The filings include an amended and restated Chapter 380 agreement with municipal entities and a sale-leaseback transaction involving the 46-acre site.

The company disclosed the transactions in a Form 8-K filed with the Securities and Exchange Commission. The agreements were executed by Venu Holding Corporation and certain subsidiaries to finalize terms for The Sunset McKinney project. A key component of the deal structure is a sale-leaseback arrangement with STORE Capital Acquisitions, LLC, which involves the land parcel where the entertainment complex is under construction.

The amended and restated Chapter 380, Grant, and Development Agreement supersedes previous versions of the deal with the City of McKinney, the McKinney Economic Development Corporation, and the McKinney Community Development Corporation. This new instrument consolidates the original agreement dated April 16, 2024, along with four subsequent amendments made in late 2024 and early 2026. The document preserves lien priorities established by the original recording while reflecting municipal consent to the sale-leaseback transaction.

Venu Holding Corporation remains responsible for the development, construction, operation, and maintenance of the facility under the new terms. The agreement modifies conditions related to the purchase price of the land. Specifically, it dictates that the $25 million secured promissory note issued to the McKinney Economic Development Corporation becomes due on the earlier of 30 days after receiving a Temporary Certificate of Occupancy or the expiration of a guarantor cure period following an owner default.

The company expects that amounts repaid under this note will be reimbursed, effectively forgiving its obligations under that specific instrument. This expectation is detailed in the summary of material terms provided in the current report. Previously, on January 14, 2025, Venu Holding’s subsidiary Sunset Ground at McKinney LLC purchased the parcel for an aggregate price of $35 million. This initial purchase consisted of $10 million in cash and $25 million in a non-interest-bearing note secured by a first-priority lien on the property.

The note is personally guaranteed by J.W. Roth, Chairman and Chief Executive Officer of Venu Holding Corporation, and a third-party shareholder. Concurrently with the new development agreement, Sunset Operations at McKinney LLC entered into a security agreement granting municipal parties a security interest in various operational revenues. These assets include ticket sales, concessions, parking fees, sponsorship rights, and licensing fees generated by The Sunset McKinney. This collateral secures the note and all related liabilities owed to the city entities.

The filings clarify that Venu Holding Corporation is an emerging growth company as defined by securities regulations. The company’s common stock trades on the NYSE American exchange under the symbol VENU. The principal executive offices are located at 1755 Telstar Drive in Colorado Springs, Colorado. The report was dated October 20, 2026, marking the earliest event date for these transactions.
