Wainwright & Co., LLC and Brookline Capital Markets as the sales agents.

Under the sales agreement, Niki BioSolutions may issue shares of its common stock, which carry a par value of $0.0001 per share, from time to time through Wainwright. The offering is structured as an at-the-market program, allowing the company to sell shares directly on the Nasdaq Capital Market or through market makers. The company retains the right to designate the maximum number of shares sold on any given trading day and to set a minimum price per share. The gross sales price for each share will match the market price at the time of sale.

Wainwright has agreed to use commercially reasonable efforts to sell the shares, though neither the company nor the sales agents are obligated to purchase or sell any specific number of shares. The agreement permits Wainwright to engage in privately negotiated transactions with prior written approval from Niki BioSolutions. Additionally, the parties may enter into separate terms agreements if Wainwright acts as a principal rather than a sales agent. The company may terminate the agreement with ten business days' prior written notice, while Wainwright may terminate with prior written notice. Brookline Capital Markets holds a similar right to terminate its portion of the agreement with ten business days' notice.

The offering relies on a shelf registration statement on Form S-3, which was initially filed with the SEC on August 28, 2026, and declared effective on October 9, 2026. A prospectus supplement dated October 9, 2026, was filed in connection with this specific offering. Niki BioSolutions is headquartered at 116 Village Boulevard, Suite 200, in Princeton, New Jersey.

A conflict of interest exists because Dr. Kira Sheinerman serves as a managing director at Wainwright and is both a director and the largest shareholder of Niki BioSolutions. This rule requires the participation of a qualified independent underwriter to exercise due diligence standards.
