Eloxx Pharmaceuticals, Inc. expanded its Board of Directors from five to six members on October 19, 2026, appointing Geno J. Germano to the newly created seat. The company filed a Form 8-K with the U.S. Securities and Exchange Commission on October 21, 2026, disclosing the board change and updates regarding its clinical pipeline.

Germano will serve until the company’s 2027 annual meeting of stockholders or until his successor is elected. The Board determined that Germano is independent under Nasdaq Stock Market LLC listing standards and Securities and Exchange Commission rules. With 35 years in the pharmaceutical and life sciences sectors, Germano most recently served as President and Chief Executive Officer of Elucida Oncology, Inc., from August 2018 to June 2024.

Before Elucida, Germano was President of Intrexon Corporation from June 2016 to March 2017. He previously led Pfizer’s Global Innovative Pharma Business as Group President from 2014 to February 2016, overseeing a $14 billion portfolio. From 2009 to 2013, he served as President and General Manager of Pfizer’s Specialty Care and Oncology business units. Germano holds a B.S. in Pharmacy from Albany College of Pharmacy.

Current board roles for Germano include director positions at Precision Biosciences, Inc. and Harmony Biosciences, and chairman of the board at Entera Bio Ltd. He previously served on the boards of Sage Therapeutics, Orbital Therapeutics, Bioverativ Inc., and The Medicines Company. Upon joining Eloxx, Germano signed the company’s standard indemnity agreement, which was filed as Exhibit 10.17 on the Form 10-K submitted on March 17, 2026.

As part of his compensation package, Germano received an equity award allowing him to buy 13,587 shares of common stock. The strike price is set at $12.50 per share. The award vests in 24 equal monthly installments over two years, provided he remains a non-employee director throughout the vesting period.

The filing also noted the appointment of T.R. Srinivas, M.D., as Senior Vice President and Chief Medical Officer on October 20, 2026. Additionally, Eloxx finalized the design of EXPRESS, a global Phase 2 trial for exaluren in autosomal dominant polycystic kidney disease. The study plans to enroll about 60 adults with specific nonsense mutations, randomizing them to receive exaluren or placebo for 52 weeks. The primary endpoint measures the annualized rate of change in height-adjusted total kidney volume.

Exaluren holds orphan drug designations in the United States and Europe for this condition. Eloxx expects to dose the first patient in the third quarter of 2027, with topline data anticipated in the first half of 2029. Sumit Aggarwal, President and Chief Executive Officer, signed the report.
