BANGKOK, August 10. A Bt890 million ($26.9 million) deal will hand Central Food Retail full ownership of Aeon (Thailand), the Thai supermarket arm of Japan's Aeon Group, adding 30 stores to the buyer's Tops-branded network. The MaxValu chain has operated in Thailand since 1984, when Aeon established its Thai forerunner, Siam Jusco.

Scope and structure of the deal

Aeon (Thailand)'s registered capital stands at Bt890 million, with each share carrying a par value of Bt100. CFR will acquire the entire registered capital. On completion, Aeon (Thailand) will transfer its business operations and staff to CFR's parent company, Central Retail, and every Aeon outlet will be renamed under the Tops brand.

The transaction also covers land assets and a ready-to-eat processing centre. Central Retail said the facility would expand its production capabilities for ready-to-eat food products. The company said it plans to fund the purchase from its own cash flow.

Regulatory standing

Central Retail disclosed that the transaction does not constitute a connected transaction and falls below the threshold that would trigger further requirements under the Capital Market Supervisory Board's notification on material transactions. The company is still required to notify the Stock Exchange of Thailand, because the deal will make Aeon (Thailand) a subsidiary of the listed company. That notification is mandated under rules on subsidiary acquisitions.

What Central Retail gains

CFR said the acquisition would bring in more than 900,000 customers and extend its supermarket footprint into new locations. As of March 31, 2026, Central Retail operated 3,649 stores and sales counters spanning 63 provinces in Thailand, plus 128 stores across 26 provinces in Vietnam.

Aeon reorders its ASEAN priorities

The sale fits Aeon's FY26-FY30 group medium-term management plan, which calls for allocating resources to priority business areas and improving group-wide profitability and capital efficiency. In Thailand, the Japanese group said the focus will shift to earnings from its finance, entertainment, and health and wellness divisions. Aeon named Vietnam its top ASEAN market for building a multi-format retail presence.
