PROVIDENCE, R.I., Oct. 20, 2026. Beeline Holdings, Inc. (Nasdaq: BLNE) announced an additional operating expense reduction plan on Monday, targeting approximately $250,000 in monthly savings. The initiative represents $3 million in annualized operating expense reductions, which the company stated are incremental to cost reductions already implemented earlier in 2026. Beeline, a digital mortgage and home equity platform, described the move as part of an ongoing transformation toward a leaner, technology-driven operating model.

The company expects these reductions to lower its fixed-cost structure and improve operating leverage, accelerating its path toward positive operating cash flow. The plan encompasses workforce reductions, infrastructure consolidation, and the elimination of legacy overhead costs. Beeline anticipates roughly $270,000 in one-time transition costs by December 1, 2026. Once these initial expenditures are complete, the full monthly savings are projected to begin accruing.

Nick Liuzza, Chief Executive Officer of Beeline Holdings, characterized the initiative as a fundamental shift in the company's operating model. Liuzza stated that the company has invested heavily in technology and higher-value mortgage products and is now aligning its cost structure with those capabilities. He noted that these additional expense reductions build on actions taken earlier this year and represent a step toward creating a more efficient, scalable business with a focus on achieving positive operating cash flow.

The cost-cutting measures coincide with continued investments in Beeline's proprietary MagicBlocks AI customer acquisition technology and a newly developed mortgage pricing engine. This infrastructure supports higher-value Non-QM products, including Bank Statement and Debt Service Coverage Ratio (DSCR) loans. Beeline stated that these investments are designed to improve conversion rates, increase revenue per employee, and enable more efficient scaling. The company reported that these factors contributed to increased revenues in Q3 2026.

Beeline continues to advance its proposed acquisition of TYTL Holdings, Inc., along with its broader home equity and blockchain strategy. This process remains subject to applicable approvals and closing conditions. The company noted that the strategic transaction involves risks related to negotiating definitive agreements, satisfying closing conditions, and obtaining required shareholder approvals.

The announcement was issued via a Form 8-K filing and included a section on forward-looking statements. Beeline cautioned that these statements are subject to inherent uncertainties and risks, including potential changes in interest rates, affordability, inflation, tariffs, geopolitical conflicts such as the war in the Middle East, and the possibility of a recession. The company also cited risks related to its ability to raise capital, attract homeowners, comply with regulatory requirements regarding digital assets and artificial intelligence, and the performance of its software infrastructure. Additional risk factors are detailed in Beeline's filings with the Securities and Exchange Commission, including its 2025 Annual Report on Form 10-K and a prospectus supplement dated March 10, 2026.
