Anthropic founders may keep voting control for decades via Class F shares

Anthropic's founders could retain 50.1% of shareholder voting power long after the company's initial public offering, even if they sell nearly all of their shares. This potential retention of control is secured through a special Class F share held by Anthropic Founders LLC. As long as at least three founders remain in the structure, this share grants majority voting rights. The governance framework further allows departing founders to be replaced by new members serving 10-year terms. This replacement mechanism potentially extends founder control over the company for decades. Consequently, an Anthropic IPO could provide outside investors with economic exposure to the business without meaningful control over corporate decisions.
