The sixth and final $30,000 draw on a $180,000 promissory note from its sponsor extended WinVest Acquisition Corp.'s (WINV) deadline for completing a business combination from August 17 to September 17, 2026, the company disclosed in an 8-K filed with the Securities and Exchange Commission.
The filing, made under Item 2.03 governing the creation of direct financial obligations, reported a drawdown that occurred on August 10.
WinVest SPAC LLC, the company's Delaware-registered sponsor, originated the note on March 16, 2026. The instrument is unsecured and interest-free.
It permits the principal to be drawn in up to six equal installments of $30,000, and the August 10 draw was the sixth, consuming the note's full $180,000 capacity.
