Change Agents Corporation (Nasdaq: ALBT) arranged a $10 million Equity Purchase Agreement with Hudson Global Ventures, LLC on July 22, 2026, according to a Form 8-K filed with the Securities and Exchange Commission.
The fixed purchase price is $0.30 per share, a level the company said exceeds the Nasdaq Minimum Price as defined under Listing Rule 5635(d).
Draw-down mechanics and price tiers Under the Purchase Agreement, Change Agents may require Hudson Global Ventures to buy stock in individual puts ranging from a $15,000 minimum to a cap of the lesser of $500,000 or 200% of average daily trading value.
The amount the company can demand on any single put scales with the stock price. When the two-day preceding low exceeds $1.50, the applicable trading amount reaches $500,000.
